Vendor & Service Provider Policy
Effective Date: 01.01.2025
1. Business Registration and Verification Requirements
All vendors and service providers ("Providers") seeking to list products or services on the Looked LLC marketplace must complete a comprehensive registration and verification process prior to being granted selling privileges. Providers must submit accurate, current, and complete business information including but not limited to: legal business name; physical address; tax identification numbers; business registration documents; and proof of identity for all account administrators. Professional service providers must additionally disclose all applicable licenses, certifications, insurance policies, and professional qualifications required to legally offer their services in each jurisdiction where they conduct business through the Platform. We reserve the right to verify all submitted information through third-party services and government databases, and may require additional documentation at any time to confirm ongoing compliance. Providers must promptly update their account information to reflect any material changes to their business status, licensing, or operational details. Failure to maintain accurate business information may result in immediate suspension of selling privileges.
2. Product and Service Listing Standards
All product and service listings on the Platform must adhere to stringent accuracy and transparency requirements. Product listings must include: detailed specifications; high-quality images showing the actual product; accurate inventory counts; country of origin; manufacturer details; and any applicable safety warnings or usage instructions. Service listings must clearly describe: the scope of services offered; practitioner qualifications; service limitations; and any necessary client prerequisites. Providers are strictly prohibited from engaging in bait-and-switch tactics, misleading representations, or artificially inflating demand indicators. All fulfillment commitments including shipping timelines, service delivery schedules, and warranty terms must be clearly stated and strictly adhered to. Providers must honor all advertised refund, return, and warranty policies in full compliance with applicable consumer protection laws in each jurisdiction where their offerings are available. We reserve the right to remove or edit listings that fail to meet these standards without prior notice.
3. Prohibited Products and Services
The Platform maintains a zero-tolerance policy regarding illegal, dangerous, or unethical offerings. Strictly prohibited items include but are not limited to: controlled substances; weapons and ammunition; counterfeit or replica items; products that infringe intellectual property rights; hazardous materials; stolen goods; items promoting hate speech, violence, or discrimination; and any products or services that violate applicable laws or Platform policies. Providers are responsible for ensuring their offerings comply with all export/import regulations, trade sanctions, and industry-specific restrictions. We regularly update our prohibited items list and may immediately remove any listings that we determine, in our sole discretion, violate these restrictions. Providers dealing in regulated goods (e.g., alcohol, pharmaceuticals, financial services) must obtain Platform approval prior to listing and comply with all additional verification requirements.
4. Customer Interactions and Review Management
Providers must maintain professional and ethical standards in all customer interactions conducted through the Platform. This includes but is not limited to: prompt and courteous communication; truthful representation of offerings; and respectful resolution of disputes. Providers are strictly prohibited from manipulating the Platform's review system through any means including: incentivizing positive reviews; submitting fake reviews; coercing customers to remove negative reviews; or creating false transactions to generate reviews. All customer feedback must be allowed to remain unaltered unless it violates Platform content policies. Providers may professionally respond to reviews but may not harass or retaliate against customers for leaving negative feedback. We employ sophisticated fraud detection systems to identify and remove suspicious review activity, and Providers found violating these standards may face immediate account suspension or termination.
5. Fee Structure and Payment Processing
The Platform's fee structure consists of various charges including but not limited to: listing fees; commission percentages; payment processing fees; and optional promotional service fees. All applicable fees are clearly disclosed in the Provider dashboard prior to listing creation and transaction completion. We reserve the right to modify fee structures with thirty (30) days' notice, except where prohibited by law. Payments to Providers are processed according to the Platform's standard payment schedule, typically within 45 days days of order completion, minus any applicable fees and subject to fraud prevention holds. Providers are responsible for all taxes associated with their Platform activities and must provide accurate tax documentation. We may withhold payments or impose reserves on Provider accounts in cases of suspected fraud, policy violations, or unusually high dispute rates, with any such actions being communicated to the Provider along with the rationale and expected resolution timeline.
6. Compliance Monitoring and Enforcement Actions
The Platform conducts ongoing monitoring of Provider activity through automated systems and manual reviews to ensure compliance with this Policy and all applicable laws. We reserve the right to take various enforcement actions in response to violations, including but not limited to: listing removal; temporary selling privileges suspension; permanent account termination; and withholding of payments. Serious violations may result in immediate account termination without prior notice, particularly in cases involving illegal activity, fraud, or threats to customer safety. Providers will receive written notification of any enforcement actions taken against their account and will have the opportunity to appeal through our designated dispute resolution process, except where prohibited by legal requirements. We may cooperate with law enforcement agencies and share information about suspicious or illegal Provider activity as required by law or to protect the Platform's interests.
7. Data Protection and Confidentiality Obligations
Providers must implement robust data protection measures for any customer or Platform data they access, in full compliance with applicable privacy laws including GDPR, CCPA, and other global data protection regulations. Providers are prohibited from using Platform customer data for any purpose other than order fulfillment and are strictly forbidden from selling, sharing, or transferring such data to third parties. All customer data must be secured using industry-standard encryption and access controls, and must be promptly deleted when no longer needed for legitimate business purposes. Providers must immediately report any data breaches involving Platform customer information to our security team. The Platform reserves the right to audit Provider data practices and terminate accounts for any violations of these confidentiality requirements.
8. Insurance and Liability Coverage
Providers offering certain categories of products or services may be required to maintain specific insurance coverage as a condition of using the Platform. This may include but is not limited to: general liability insurance; professional liability insurance; product liability insurance; and workers' compensation insurance where applicable. Minimum coverage amounts and proof of insurance may be required prior to listing approval for certain high-risk categories. Providers are solely responsible for all liability arising from their products, services, or business operations, and must indemnify the Platform against any claims related to their offerings. The Platform maintains its own insurance coverage but explicitly disclaims any responsibility for Provider-caused damages or losses beyond the limitations outlined in our Terms of Service.
9. Policy Updates and Provider Notification
We may update this Vendor & Service Provider Policy periodically to reflect changes in legal requirements, industry standards, or business practices. Material changes will be communicated to Providers through the Platform messaging system and via email with at least thirty (30) days' notice, except where immediate changes are required by law or to address significant risks. Providers are responsible for regularly reviewing the current version of this Policy and maintaining compliance with all requirements. Continued use of the Platform following Policy updates constitutes acceptance of the revised terms. Providers who cannot comply with updated requirements should immediately cease using the Platform's selling features.
10. Dispute Resolution and Governing Law
Any disputes arising under this Policy shall be resolved through binding arbitration in accordance with the dispute resolution provisions set forth in our Terms of Service. This Policy shall be governed by and construed in accordance with the laws of New Jersey, without regard to its conflict of law principles. Providers agree to submit to the personal jurisdiction of the courts located in New Jersey for any disputes not subject to arbitration. The Platform reserves the right to seek injunctive relief in any court of competent jurisdiction to prevent actual or threatened violations of this Policy.
